DEED of AMENDMENT

Article 1
NAME

The name of the association is "ASIAN LEASING & FINANCE ASSOCIATION" (hereinafter referred to as ALFA).

Article 8
THE OFFICERS

1. The officers of ALFA below must be appointed by the General Assembly once every 2 (two) years at the annual meeting :



1. one President;
2. one Vice President and one Second Vice President of each country member, unless if there is any change from the asociation or national committee of its country, provided that a Vice President shall not appointed from the originating country of the President, and;
3. one Secretary General.



2. The nomination fot the appointment of such officers must be submitted to the Secretary Generael, at least 14 (fourteen) days before the date of the meeting. All nominations must be submitted in writing and signed by the nominator. If there is only one nomination for a certain position, the nominee shall be appointed automatically at the relevant meeting, and further at the same meeting, it may be proposed to vote for the appointment of officers to hold other positions. If there are sufficient nominations, the voting will be conducted for such nominations at the relevant meeting.



3. Each officer shall hold his/her position as of the closing if the meeting where he/she is appointed until closing of the next 2 (two) years meeting, provided that if there is a vacancy in a certain position at the meeing, the officer holding such position shall remain in his/her position until his/her replacement is appointed.
